Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the products, services, and websites operated by Startoken Pty Ltd (ABN registered in Australia), including but not limited to:

  • Wag-Tail.io — AI agent platform for building, deploying, and managing enterprise AI agents
  • Wag-Tail AI Gateway — LLM routing, cost management, and API gateway infrastructure
  • www.startoken.com — Corporate website and marketing materials
  • Professional Services — Consulting, implementation, and deployment services

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and complete information during registration.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Generate, store, or distribute harmful, abusive, defamatory, or illegal content
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse-engineer, decompile, or disassemble any part of the Services
  • Use the Services to build a competing product or service
  • Resell, sublicense, or redistribute access without written authorization
  • Circumvent usage quotas, rate limits, or security controls

5. AI-Generated Content

Our Services use large language models (LLMs) and AI technologies to generate responses and process data. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or current
  • You are responsible for reviewing and validating AI outputs before relying on them
  • Startoken does not guarantee the accuracy or suitability of AI-generated content for any particular purpose
  • AI responses should not be treated as professional, legal, medical, or financial advice

6. Data Ownership & Intellectual Property

Your Data

You retain all rights to the data you upload, submit, or process through the Services ("Your Data"). You grant Startoken a limited license to process Your Data solely for the purpose of providing the Services to you.

Our Property

All intellectual property rights in the Services, including software, algorithms, designs, documentation, trademarks, and branding, remain the exclusive property of Startoken Pty Ltd. These Terms do not grant you any rights to our intellectual property except as expressly stated.

Feedback

If you provide suggestions, ideas, or feedback regarding the Services, you grant Startoken an unrestricted, perpetual, irrevocable license to use and incorporate such feedback without obligation to you.

7. Third-Party LLM Providers

Our Services may route requests to third-party LLM providers (e.g., OpenAI, Anthropic, Google, Mistral, and others). When using these providers through our platform:

  • Your data may be processed by third-party providers in accordance with their respective terms and privacy policies
  • For on-premise deployments, data remains within your infrastructure and is not sent to external providers unless configured otherwise
  • Startoken is not responsible for the availability, accuracy, or policies of third-party LLM providers
  • You are responsible for ensuring your use of LLM providers complies with their acceptable use policies

8. Service Availability & SLA

  • We aim to provide 99.9% uptime for our hosted Services but do not guarantee uninterrupted access
  • Scheduled maintenance windows will be communicated in advance where possible
  • For on-premise deployments, uptime depends on your infrastructure and is your responsibility
  • We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice

9. Payment & Billing

  • Pricing is determined by your subscription plan and usage
  • All fees are quoted in the currency specified at the time of purchase and are exclusive of applicable taxes unless stated otherwise
  • Payment is due according to the billing cycle agreed upon during signup or contract execution
  • Late payments may result in service suspension after reasonable notice
  • Refunds are handled on a case-by-case basis and are not guaranteed

10. Limitation of Liability

To the maximum extent permitted by law:

  • Startoken shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services
  • Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Startoken in the twelve (12) months preceding the claim
  • We are not liable for damages arising from third-party LLM provider outages, errors, or policy changes
  • We are not liable for any loss of data that results from your failure to maintain adequate backups

11. Indemnification

You agree to indemnify and hold harmless Startoken Pty Ltd, its directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Content you upload, generate, or distribute through the Services

12. Termination

  • You may terminate your account at any time by contacting us
  • We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity
  • Upon termination, your right to use the Services ceases immediately
  • We will make your data available for export for a reasonable period (30 days) after termination, after which it may be deleted
  • Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in our Privacy Policy.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by email or in-product notification. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
